Please read these terms carefully as they govern your use of PropertyFile.

These terms and conditions (terms) tell you the rules for using our website www.properyfile.co.uk together with any related applications or platforms (Property File).

By accessing PropertyFile you shall be deemed to have accepted these terms. If you do not accept these terms, you should immediately cease using PropertyFile.

We recommend that you print or make a digital copy of these terms for future reference.

  1. General Information
    1. PropertyFile is a product of ALTO. References to “ALTO” means Vebra Solutions Limited (VSL), a company registered in England and Wales under company number 04529917, whose registered office is at The Cooperage, 5 Copper Row, London SE1 2LH.
    2. VSL, is a division of ZPG Limited. Any reference to “us”, “we”, “our” or “the Group” within these terms and conditions includes all or any of the direct or indirect parent or subsidiary undertakings.
    3. We may modify these terms at any time and any such modifications are effective immediately from the time they are included on PropertyFile. You agree to review these terms regularly to ensure you are aware of any such modifications.

    5. These terms refer to the following additional terms, which also apply to your use of Property File:
      1. Our Privacy Policy and Privacy Notices.
      2. Our Cookie Policy, which sets out information about the cookies on PropertyFile.
      3. Some of our products and services may have specific terms or be governed by third party terms which will apply in addition to, or sometimes in replacement of these terms. Where possible, we will notify you of such terms before you sign up to the relevant service to give you an opportunity to review them.
    6. We may update and change PropertyFile from time to time to reflect changes to our products, our services, our users' needs and our business priorities.
    7. We may transfer our rights and obligations under these terms to another organisation. Where required by law, we will tell you in writing if this happens and we will ensure that the transfer will not affect your rights under the contract.
  2. Service Access
    1. We do not guarantee that PropertyFile, or any content on it, will always be available or be uninterrupted. We may suspend or withdraw or restrict the availability of all or any part of PropertyFile for business and operational reasons.
    2. We are not responsible for the accuracy or completeness of PropertyFile, products or services, or any lack or loss of functionality of PropertyFile, products or services.
    3. You are responsible for ensuring that all persons who access PropertyFile through your internet connection are aware of these terms and other applicable terms and conditions, and that they comply with them.
    4. You must be 18 years old or over to create or use an account on PropertyFile or contact us or third parties through PropertyFile. Minors are not permitted to use PropertyFile. No content is intended for children.
    5. PropertyFile, its content (including information and material), products or services provided in relation to the same are only targeted to, and intended for use by, individuals (consumers and businesses) located in the United Kingdom (UK). We do not represent that content available on or through PropertyFile is appropriate for use or available in other locations. By continuing to access, view or make use of PropertyFile and any related content, products and services, you hereby warrant and represent to us that you are located in the UK. If you are not a resident in the UK, you must immediately discontinue use of PropertyFile and any related content, products and services.
    6. PropertyFile may include content uploaded by business users of the Site. This content has not been verified or approved by us. The views expressed by other users on our Site do not represent our views or values. No consumer user generated content is permitted on this Site.
    7. As a condition of your use of PropertyFile (we may add or amend these restrictions from time to time), you agree not to use PropertyFile for any purpose that is unlawful under any applicable law or prohibited by these terms including but not limited to the following:
      • to commit or facilitate any act of fraud;
      • to distribute viruses or malware or other similar harmful software code;
      • to attempt to copy our data, or reverse engineer our processes;
      • for purposes of promoting unsolicited advertising or sending spam;
      • to view it with any automated software without our consent;
      • to access via any other than manual means;
      • to simulate communications from us or another service or entity in order to collect identity information, authentication credentials, or other information (“phishing”);
      • in any manner that disrupts the operation of PropertyFile or business or the website or business of any other entity;
      • in any manner that harms minors;
      • in a manner that may be considered offensive or abusive;
      • in a way that interferes with any other user's enjoyment of PropertyFile;
      • to promote any unlawful activity;
      • in breach of any other policy or notice on PropertyFile;
      • to represent or suggest that we endorse any other business, product or service unless we have separately agreed to do so in writing;
      • to copy or use our or any third party's intellectual property rights without a licence in place, or to remove or alter any copyright notice that appears on PropertyFile;
      • to gain unauthorised access to or use of computers, data, systems, accounts or networks; or
      • to attempt to circumvent password or user authentication methods.
    8. PropertyFile is subject to fair and reasonable use by you. We shall apply these restrictions in our absolute discretion. In the event of your breach of these restrictions we may terminate or suspend your use of PropertyFile, remove or edit any submissions, disclose submissions or any other communication by you to law enforcement authorities, or take any action we consider necessary to remedy the breach.
  3. Registration and Products
    1. If you choose, or you are provided with, a username, password or any other piece of information as part of our security procedures, you must treat such information as confidential. You must not disclose it to any third party. You will ensure that your account will not be used by any third party. You will be responsible for all activity that occurs or that is submitted on your account under your log in details.
    2. We have the right to disable any username or password, at any time for any reason, including without limitation if you have failed to comply with any of the provisions of these terms.
    3. If you know or suspect that anyone other than you knows your username or password, you must promptly notify us at support@propertyfile.co.uk.
    4. We may offer products and services to you on PropertyFile related to a property transaction, either provided by us or a third party. Where you engage, purchase or otherwise choose to use such products or services you must read and agree to any of our additional terms and privacy information. Where such products or services are provided by a third party you must read and agree to their terms and privacy notices. We may share property information and or your personal information with the third party should this be a requirement to help fulfil the terms you have agreed with the third party.
  4. Intellectual Property
    1. The copyright and all other intellectual property rights (including but not limited to database rights, trade marks and design rights in all cases whether registered or not) in all materials included on PropertyFile (including without limitation, data, designs, texts, pictures, graphics, statistics, logos, images and the selection and arrangement of them),all software, and code, in PropertyFile belong to VSL or its licensors unless otherwise acknowledged. You are not permitted to use any of our trade marks without our approval. All rights are reserved.
    2. Whilst you may print or download extracts from PropertyFile for your personal use you may not otherwise download, copy, reproduce, reverse engineer, disassemble, redistribute, republish, transmit, adapt, alter, create derivative works from or otherwise extract or reutilise any material contained on PropertyFile for commercial purposes without VSL's prior written permission and unless you:
      1. Acknowledge VSL as the source of the material; and
      2. Ensure the third party to whom you are disseminating the information will comply with these terms.
    3. Infringement of VSL's intellectual property rights in PropertyFile and/or the materials associated with it may lead to criminal and/or civil sanctions in the UK and/or in other countries. Your right to use our Site will cease immediately and you must, at our option, return or destroy any copies of the content you have made. We reserve the right to take further legal action in respect of any such breach.
    4. You must not use any part of the content or material on PropertyFile for commercial purposes without obtaining a licence from us to do so. This includes not using the content on Property File for the purposes of developing or contributing towards a solution utilising artificial intelligence.
  5. Linking and Scraping
    1. Linking to and/or framing of this PropertyFile without VSL's prior written consent is strictly prohibited. Where consent is provided; you may only link to our home page, provided you do so in a way that is fair and legal and does not damage our brands or our reputation or take advantage of it; you are responsible for your own website and ensure it will at all times comply with all applicable laws; you must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists; and you must not establish a link to PropertyFile in any website, application or platform that is not owned by you. We reserve the right to withdraw linking permission without notice.
    2. Links to third party sites containing information on VSL and/or its Group companies are provided for the reader's convenience only. VSL is not the publisher of such information and takes no responsibility of any kind for it.
    3. Where PropertyFile contains links to other websites, applications or platforms (including social media sites) and resources provided by third parties, including but not limited to calculators and quoting services, these are provided for your information only. Any links which include the option to contact third parties are to be completed at your own risk. Such links should not be interpreted as approval by us of those linked websites, applications, platforms or information you may obtain from them. We have no control over the contents, material or information which you may provide to those websites, applications, platforms or resources.
    4. Property File may also contain advertising from third parties and we are not responsible for any misleading or inaccurate advertisements which are the sole responsibility of the advertiser. Any links or advertisements on PropertyFile should not be taken as an endorsement by us of any kind. Furthermore, PropertyFile contains data provided by third parties and we accept no responsibility for any inaccuracies in this material. You agree to release us from claims or disputes of any kind arising from or in any way connected to such disputes.
    5. You shall not conduct, facilitate, authorise or permit any text or data mining or web scraping in relation to PropertyFile or any product or services provided via, or in relation to, PropertyFile. This includes but is not limited to using (or permitting, authorising or attempting the use of):
      1. Any ”robot“, ”bot“, ”spider“, ”scraper“ or other automated device, program, tool, algorithm, code, process or methodology to access, obtain, copy, monitor or republish any portion of PropertyFile or any data, content, information or services accessed via the same.
      2. Any automated analytical technique aimed at analysing text and data in digital form to generate information which includes but is not limited to patterns, trends and correlations.
      3. The provisions in this clause should be treated as an express reservation of our rights in this regard.
      4. This clause shall not apply insofar as (but only to the extent that) we are unable to exclude or limit text or data mining or web scraping activity by contract under the laws which are applicable to us.
  6. Viruses, Hacking and other offences
    1. You must not misuse PropertyFile in any way, including but not limited to, by knowingly introducing viruses, trojans, worms, logic bombs or other material which is malicious or technologically harmful. You must not attempt to gain unauthorised access to PropertyFile, the server on which PropertyFile is stored or any server, computer or database connected to PropertyFile. You must not attack PropertyFile via a denial-of-service attack or a distributed denial-of-service attack. By breaching this provision, you would commit a criminal offence under the Computer Misuse Act 1990. We will report any such breach to the relevant law enforcement authorities and we will cooperate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use PropertyFile will cease immediately.
    2. We do not guarantee that PropertyFile will be secure or free from bugs or viruses.You are responsible for configuring your information technology, computer programmes and platform to access PropertyFile. You should use your own virus protection software. We will not be liable for any loss or damage caused by a virus, distributed denial-of-service attack, or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of PropertyFile or to your downloading of any content on it, or on any website, application or platform linked to it.
  7. PropertyFile Content And Liability
    1. VSL has made reasonable efforts to ensure that all information provided through PropertyFile is accurate at the time of inclusion. However, some of this information is provided by third parties over which VSL has no control and is not responsible for. It is possible that from time to time there may be occasional errors or omissions on PropertyFile.
    2. To the extent permitted by law, VSL excludes all conditions, warranties, representations or other terms which may apply to PropertyFile or any content on it, whether express or implied, including without limitation any representation or warranty as to the accuracy or completeness of the contents of this PropertyFile. We may need to make PropertyFile unavailable with or without notice to carry out maintenance or upgrade work. We accept no liability for any interruption or loss of service.
    3. Any and all decisions (including but not limited to purchasing decisions) which may be based on information on this PropertyFile are entirely the responsibility of the reader. VSL does not endorse the services of any third party referred to on PropertyFile and is not liable for the acts and/or omissions of any such third party. Property descriptions and other property information provided on PropertyFile is intended for information purposes and, whilst displayed in good faith, we will not in any circumstances accept responsibility for their accuracy. Property particulars should be available directly from the relevant third party estate agent. It is the responsibility of prospective buyers, sellers, landlords and tenants to satisfy themselves as to the accuracy of any property descriptions displayed and the responsibility of the relevant third party estate agent to ensure the accuracy and integrity of property descriptions provided on PropertyFile.
    4. Nothing in PropertyFile is intended to be, nor should it be, construed as being an offer to enter into a contractual relationship, unless subject to separate terms and conditions applicable to the product or service provided by us or a third party Nothing in PropertyFile is further intended to amount to advice on which you should rely. You must obtain professional or specialist advice before taking, or refraining from, any action on the basis of the content on PropertyFile.
    5. Subject to clause 7.10, VSL shall not be liable in contract, tort (including negligence) statutory duty or otherwise to any person for any loss or damage which may be suffered by any person in accessing, downloading, using or relying on any information or other materials contained in this PropertyFile. If you are a business user, VSL will not be liable for any loss of profits, sales, business, or revenue, business interruption, loss of anticipated savings, loss of business opportunity, goodwill or reputation or any indirect or consequential loss or damage.
    6. If you are a consumer user, please note that PropertyFile is for domestic and private use only and you agree not to use PropertyFile for any commercial or business purpose and VSL has no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity. You will be considered a consumer unless you hold a current PropertyFile contract with us.
    7. The exclusions of liability contained in the clauses above include but are not limited to any liability for any loss or damage caused by a distributed denial-of-service attack, viruses or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of PropertyFile or to your downloading of any material posted on it, or on any PropertyFile linked to it.
    8. VSL does not, to the extent permitted by law, accept any liability (whether in contract, tort, negligence or otherwise) for any external compromises of security and/or confidentiality in relation to transmissions sent by email.
    9. Subject to clause 7.10, VSL s total liability in contract, tort (including negligence), statutory duty or otherwise arising out of or in connection with your use of PropertyFile and/or any materials on PropertyFile will not exceed £100.
    10. Nothing in these Terms shall restrict or exclude VSL's liability for death or personal injury resulting from its negligence or its liability for fraudulent misrepresentation or liability which it is otherwise not permitted by law to exclude or restrict.
    11. Different limitations and exclusions of liability may apply to liability arising as a result of the supply of any products or services to you, which will be set out in our other terms and conditions depending on the products or services you buy and/or interact with.
    12. To the fullest extent permitted by applicable laws, we will not be liable for any losses caused (either directly or indirectly) by your use of (i) third party products or services available on PropertyFile; or (ii) links to third party websites, applications or platforms that may be included on PropertyFile.
  8. Use Of PropertyFile And Email Communication
    1. You shall only use PropertyFile for lawful purposes. When you use PropertyFile and/or send VSL an email, you are communicating with VSL electronically. You consent to all communications being sent to you electronically via the email address that you provide to VSL. You agree that such communications will satisfy any legal requirement for the communication to be in writing. For full details of acceptable use see our Acceptable User Policy below.
    2. We will only use your personal information as set out in our Privacy Policy. Where you choose to use or purchase a product or service provided by us, your personal information may be further processed as set out in any product or service privacy notice. You must please read our Privacy Policy together with any more specific privacy notices. For any processing of your personal data by a third party, you must read their privacy policy which will govern their processing activities.
    3. When you create or access an account, or submit personal information, you may be given the opportunity to opt-in or out of receiving electronic marketing from us, our Group, or third parties. You will always be provided with a means to manage your marketing preferences and unsubscribe from electronic marketing emails at any time. From time to time, we may need to send you electronic messages to fulfil contractual, legal, regulatory or business obligations regarding products and services you use.
    4. When it comes to our products and services we don't compromise on security. If you have noticed something that doesn't seem quite right with PropertyFile you can let us know by emailing security@zoopla.co.uk your name, details of the vulnerability and how to reproduce it.
  9. Visitor Material, Content And Indemnification
    1. Other than personally identifiable information, which is covered under VSL's Privacy Policy, any visitor to PropertyFile providing information to VSL agrees thatVSL has unlimited rights to such information and that VSL may use such information in any way it chooses. Such information provided by the visitor shall be non-confidential and non-proprietary.
    2. VSL shall have no obligations with respect to such material. VSL shall be free to copy, disclose, distribute, incorporate and otherwise use such material and all data, images, sounds, text and other things embodied therein for any and all commercial or non-commercial purposes.We also have the right to disclose your identity to any third party who is claiming that any content submitted by you to PropertyFile constitutes a violation of their intellectual property rights or of their right to privacy.
    3. You agree to indemnify, defend and hold us and our Group, shareholders, officers, directors, employees, agents or suppliers harmless from any and all claims or demands, made by any third party due to or arising out of your use of PropertyFile or through your password or otherwise, the violation of these terms by you, or the infringement by you of any intellectual property or other right of any other person or entity.
  10. Jurisdiction and Complaints
    1. Our Site is made available to residents in the UK only. If you are a consumer, please note that these Terms, its subject matter and its formation, are governed by English law and shall be subject to the non-exclusive jurisdiction of the courts of England and Wales, except if you are a resident of Northern Ireland you may also bring proceedings in Northern Ireland, and if you are resident of Scotland, you may also bring proceedings in Scotland. We may take action to enforce our intellectual property rights in any relevant jurisdiction. If any provision of these terms is found to be unenforceable, it will be replaced with a provision reflecting the intent of the original provision.
    2. If you are a business user, these Terms, its subject matter and its formation (and any non-contractual disputes or claims) are governed by English law and shall be subject to the exclusive jurisdiction of the courts of England and Wales.
    3. If you wish to complain about any content on PropertyFile or you become aware of any content that could comprise or be connected to child sexual abuse or exploitation or that could comprise terrorist content or be connected to terrorism, please contact us immediately at support@propertyfile.co.uk.
    4. The headings in these terms are solely used for convenience only. You may not assign or delegate any or all of your rights or obligations under these terms. We may assign our rights at any time without notice to you. Our delay or failure to exercise or enforce any right or provision of these terms shall not constitute or be construed as a waiver of such right to act. We shall not be responsible for any breach of these terms caused by circumstances beyond our control. Nothing in these terms shall be construed to create a joint venture, partnership, or agency relationship between you and us, and neither you or we shall have the right or authority to incur any liability, debt, or cost, or enter into any contracts or other arrangements, in the name of or on behalf of the other.
